The Shell Test name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of The Shell Test. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
You are granted a limited, non-exclusive, non-transferable license to access and use theshelltest.com for personal, non-commercial purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as necessary for your personal use.
6. User-Generated Content
The Shell Test may allow you to submit, post, or otherwise make available content such as comments, feedback, test results, or other materials ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. However, by submitting User Content to theshelltest.com, you grant The Shell Test a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate any third-party rights or applicable laws. You agree not to submit User Content that is defamatory, obscene, pornographic, abusive, or otherwise objectionable. The Shell Test reserves the right, but has no obligation, to monitor, edit, or remove any User Content that we determine in our sole discretion violates these Terms or is otherwise objectionable.
7. Disclaimers and Warranties
THE SHELL TEST AND ALL CONTENT AND SERVICES PROVIDED THROUGH THESHELLTEST.COM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE SHELL TEST DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Shell Test does not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components. The Shell Test does not warrant or make any representations regarding the use or the results of the use of the Content in terms of its correctness, accuracy, reliability, or otherwise. You assume all responsibility and risk for your use of theshelltest.com and the internet generally.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SHELL TEST, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of or inability to access or use theshelltest.com
- Any conduct or content of any third party on the Site
- Any content obtained from the Site
- Unauthorized access, use, or alteration of your transmissions or content
IN NO EVENT SHALL THE SHELL TEST'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO THE SHELL TEST IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
9. Indemnification
You agree to defend, indemnify, and hold harmless The Shell Test, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to theshelltest.com; (b) your violation of these Terms; (c) your violation of any third-party rights, including without limitation any copyright, property, or privacy right; or (d) any claim that your User Content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of The Shell Test.
10. Termination
The Shell Test reserves the right to suspend or terminate your access to theshelltest.com, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
You may terminate your account at any time by discontinuing use of the Site and, if applicable, deleting your account through the account settings. If you wish to request deletion of your personal data, please contact us using the information provided in the Contact section below.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which The Shell Test is headquartered, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction for the resolution of any disputes arising out of or relating to these Terms or your use of theshelltest.com.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms to arbitrate, shall be determined by binding arbitration before a single arbitrator, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
12. Changes to Terms
The Shell Test reserves the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on theshelltest.com with a new "Effective Date" at the top of this page. We may also notify you via email or through a notice on our Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using theshelltest.com. The most current version of these Terms will supersede all previous versions.
13. Miscellaneous
